Abstract

A presente dissertação debruça-se sobre a aplicação do instituto da alteração de circunstâncias, prevista no artigo 312.º, alínea a) do Código dos Contratos Públicos e no artigo 437.º, n.1 do Código Civil, às Parcerias Público-Privadas no contexto actual de crise financeira e económica, procurando justificar se esta crise e os seus efeitos constituem, de iure, uma alteração de circunstâncias, permitindo, desta forma a modificação dos contratos subjacentes às Parcerias ou no limite, a sua resolução. Exporemos, de forma sumária, da realidade PPP, procurando apontar um conceito, de forma a compreender o que são, dando particular enfase a uma das suas características fundamentais (a partilha e gestão óptimas dos riscos), que se revela fundamental para compreender a viabilidade da aplicação do instituto da alteração das circunstâncias à Parcerias no contexto de crise financeira e económica.

This thesis focuses on the application change of circumstances under article Article 312.º, a) of the Public Contract Code and article 437.º, n.º 1 of the Portuguese Civil Code, to Public-Private Partnerships in the current context of financial and economic crisis. We will try to justify if this crisis and its effects are, de jure, a change of circumstances, thus allowing modification, or resolution, of the contracts underlying a Partnership. We will summary explain the PPP reality, trying to point out a concept in order to understand what they are, giving particular emphasis to one of its fundamental characteristics (the optimal sharing and management of risks), vital to understand the enforcement of the institute of the change of circumstances to a Partnership in the context of the financial and economic crisis.
