Arbitragem comercial internacional dos litígios emergentes de contratos internacionais de transferência de tecnologia

Abstract

O objetivo principal desta investigação é estudar a submissão de litígios emergentes dos contratos internacionais de transferência de tecnologia à arbitragem comercial internacional. Os problemas que surgem desta temática dizem respeito à arbitrabilidade destes litígios, à definição da lei aplicável ao mérito da causa e os limites que o Direito da Concorrência pode impor tanto à arbitrabilidade quanto à autonomia das partes para definirem o direito aplicável ao fundo do litígio. Para tanto, inicia-se delineando os conceitos dos institutos centrais, nomeadamente a arbitragem comercial internacional e os contratos internacionais de transferência de tecnologia; através de análise destrinchada destes conceitos, evoluindo da manifestação do instituto no âmbito do direito interno para o direito internacional. Em seguida, analisa-se a arbitrabilidade, objetiva e subjetiva, dos litígios emergentes dos contratos de transferência de tecnologia, distinguindo-se os contratos que envolvem direitos de propriedade intelectual dos demais, e demonstrando-se os limites que o Direito da Concorrência pode impor à arbitrabilidade. Por fim, estuda-se como ocorre a definição da lei aplicável ao mérito da causa, como a escolha se manifesta quando os litígios envolverem tão somente os aspectos contratuais obrigacionais do negócio ou quando disserem respeito aos efeitos sobre a propriedade intelectual, finalizando-se com a análise da relevância de normas imperativas que não compõem o direito primariamente competente.

The main goal of this research is to study the submission to international commercial arbitration of the conflicts originated from international contracts of technology transfer. The issues that arise from this subjetc-matter concern the arbitrability of those conflicts, the definition of the applicable law and the possible limits that Antitrust Law can impose whether to the arbitrability or to the autonomy of the parties to define the applicable law. Thereunto, this research begins defining the main concepts involved in the subject, namely international commercial arbitration and international contracts of technology transfer, by evolving from the institute in its national to its international perspective. After that, the study of arbitrability begins, going thru its objective and subjective mode on what concerns the conflicts arising from the contracts in analysis, differencing the ones involving intellectual property rights from those that don’t, and showing the limits that Antitrust Law imposes to arbitrability. Finally, it is observed how de definition of the applicable law happens, how the choice of law varies when the conflicts involve solely the contractual aspects of the trade or when it involves the effects on intellectual property rights as well, ending the research by verifying the importance of the application of mandatory rules not part of the firstly competent law.
