Abstract

A arbitragem, enquanto método de resolução de litígios, possui diversas caraterísticas positivas e tem ganho visibilidade e proporcionado às partes envolvidas uma alternativa viável face aos tribunais tradicionais. No entanto, uma das maiores problemáticas quando se trata da arbitragem no âmbito societário surge quando terceiros não estão diretamente envolvidos na convenção, por outras palavras, a extensão da convenção de arbitragem a um terceiro não subscritor. A presente dissertação tem como objetivo abordar e investigar pormenorizadamente o tema da vinculação da convenção de arbitragem nos grupos de sociedades, focando em aspetos relacionados tanto com o contexto nacional, como internacional. Desta forma, é relevante realizar uma análise aprofundada de casos jurisprudenciais de forma a entender e comparar perante cada ordenamento jurídico a sua importância e identificar possíveis lacunas e encontrar possíveis soluções neste contexto. Dado que a arbitragem voluntária tem as suas raízes na esfera contratual e a convenção de arbitragem consiste no acordo celebrado pelas partes, é fundamental distinguir entre aqueles que assinaram o acordo de arbitragem e aqueles que, embora não a tenham assinado, possam estar vinculados a ela. Esta investigação tem como objetivo contribuir para uma compreensão profunda deste tema, abordando as mais diversas teorias, doutrinas e contextos. Por sua vez, estes são polémicos, sendo que será sempre essencial um equilíbrio, tanto a nível do direito societário, como no direito da arbitragem.

Arbitration, as a method of resolving disputes, has several positive characteristics and has gained visibility and provided the parties involved with a viable alternative to traditional courts. However, one of the biggest problems when it comes to arbitration in the corporate sphere arises when third parties are not directly involved in the agreement, in other words, the extension of the arbitration agreement to a non-subscribing third party. The aim of this dissertation is to address and investigate in detail the issue of binding arbitration agreements in corporate groups, focussing on aspects related to both the national and international context. It is therefore important to carry out an in-depth analysis of case law to understand and compare its importance in each legal system and to identify possible gaps and find possible solutions in this context. Given that voluntary arbitration has its roots in the contractual sphere and the arbitration agreement consists of the agreement entered into by the parties, it is essential to distinguish between those who have signed the arbitration agreement and those who, although they have not signed it, may be bound by it. The aim of this research is to contribute to an in-depth understanding of this subject, addressing the most diverse theories, doctrines and contexts. These, in turn, are controversial, and a balance will always be essential, both in terms of corporate law and arbitration law.
