A insolvência do clube fundador

Abstract

O clube desportivo desempenha, como sempre desempenhou, um importante papel no panorama desportivo português. Com a introdução das sociedades de natureza desportiva, mormente nas competições desportivas profissionais, sentiu-se a necessidade de estabelecer um regime especial atribuído ao clube desportivo que, através da personalização jurídica da sua equipa, fundasse uma SAD. A crise financeira dos clubes desportivos e das sociedades desportivas é algo inegavelmente assumido neste momento, pelo que analisamos os meios pré-insolvenciais a que podem recorrer, com vista à sua revitalização económica. Procuramos, ainda, problematizar as hipóteses de desvinculação entre as entidades referidas, com especial relevância para a insolvência do clube fundador, com a indispensável análise dos preceitos legais aplicáveis nesta circunstância. Tentamos, igualmente, expor os motivos pelos quais a extinção do clube fundador não compromete a subsistência da SAD por si fundada, assim como esclarecemos o regime a que esta sociedade ficará adstrita.

The club plays, as it has always played, an important role in the Portuguese sports scene. With the introduction of societies of a sports nature, especially in professional competitions, the need was felt to establish a special regime attributed to the club that, through the legal personalization of its team, founded a SAD. The financial crisis of clubs and sports societies is something undeniable, therefore we analyze the preinsolvency means to which they may resort, towards their economic revitalization. We also try to problematize the possibilities of detachment between the two parties, with special relevance to the insolvency of the founding club, with the indispensable analysis of the laws that apply in such circumstances. We also expose the reasons why the dissolution of the founding club does not compromise the subsistence of the SAD founded by it, as well as clarify the regime to which this company is bound.
