Abstract

A presente dissertação visa a análise das questões mais frequentes em torno da problemática dos acordos parassociais, surgidas após a entrada em vigor do Código das Sociedades comerciais. Numa primeira fase será abordada a questão dos acordos parassociais em geral, nomeadamente, das suas características, das suas modalidades mais frequentes e da sua evolução nos diferentes ordenamentos jurídicos. Num segundo momento será dada especial enfâse aos acordos relativos ao exercício do direito de voto, enquanto modalidade mais frequente e que mais dúvidas e divergências tem suscitado na nossa doutrina e jurisprudência. Relativamente a este segundo momento, começaremos por analisar os efeitos que os acordos de voto produzem e os limites legais e estatutários que o conteúdo dos mesmos deve observar. Posteriormente, trataremos a questão, algo controversa, da possibilidade de recurso aos mecanismos de realização coativa das obrigações para fazer face ao incumprimento de uma convenção de voto.

This dissertation aims at analyzing the most frequent questions about the issue of shareholder agreements, which arose after the entry into force of the Commercial Companies Code. As a first step, the issue of shareholder agreements in general will be addressed, including their characteristics, their most frequent modalities and their evolution in different legal systems. Secondly, special emphasis will be given to agreements on the exercise of the right to vote, as the most frequent modality and that more doubts and divergences has arisen in our doctrine and jurisprudence. Regarding this second moment, we will begin by analyzing the effects that the voting agreements produce and the legal and statutory limits that the content of the agreements must observe. Subsequently, we will deal with the somewhat controversial issue of the possibility of using the mechanisms of coercive realization of obligations to cope with non-compliance with a voting agreement.
