Abstract

El presente estudio tiene por objeto explicar cómo es la relación entre la sociedad de gananciales con los distintos tipos de sociedades de capital. Se analiza el supuesto del matrimonio casado en régimen de gananciales en el que uno o ambos cónyuges es a su vez socio de una sociedad de capital. Para ello, se abordan cuestiones tales como, qué lugar ocupa el cónyuge del socio en la sociedad de capital, qué derechos corresponden a cada uno de ellos, qué puede y que no puede hacer cada uno de los cónyuges respecto a las acciones y participaciones de la sociedad de capital, para lo que será fundamental conocer el carácter de éstas según el tipo de sociedad de que se trate, el momento de su adquisición y los fondos empleados para ello. De igual modo, se estudia si son de aplicación o no las reglas de administración y disposición propio del régimen de gananciales (principio de cogestión) en el ámbito societario; asimismo, se determinan las deudas y obligaciones a las que quedan sujetos los bienes gananciales por la actividad de uno de los cónyuges, cómo puede perjudicar a la sociedad de gananciales que uno de ellos sea administrador de una sociedad de capital o que actúe como fiador o avalista. También se examina cómo ha de llevarse a cabo la disolución y liquidación de la sociedad de gananciales respecto al reparto de las acciones y participaciones, para lo que se tendrá en cuenta el régimen de transmisión, las posibles restricciones existentes, el carácter abierto o cerrado de la sociedad de capital, los posibles reembolsos… Estas y otras cuestiones semejantes son a las que se trata de dar respuesta en este estudio.

This study explains the relationship between joint marital property partnerships with the different types of capital companies. It analyses a matrimony married in a regime of joint marital property in which one or both spouses is at the same time a partner in a capital company. For that purpose, different situations are approached, such us what is the position of a spouse of a partner in a capital company, what rights belong to each other, what can each of the spouses do, or not do, in relation to the shares and participating interests in the capital company. It will be critical to understand their nature, depending on the type of company, the moment of acquisition and the money used for such acquisition. In addition, the study considers if the rules of administration and disposition of the joint marital property regime are applicable (congestion principle) to the corporate sphere. Moreover, the study determines the liabilities and obligations to which the joint marital regime assets are tied by each of the spouses, and how the fact that one of the spouses is a company administrator or a guarantor can harm the joint marital property partnership. The study also examines how the dissolution and liquidation of the joint marital property partnership takes place, regarding the distribution of shares and participating interests; for this purpose, things such as the transmission regime, the open or closed character of the partnership, possible refunds... are taken into account. These and other issues will be dealt by this study.
