Abstract

[ES] Este trabajo aborda una de las novedades que introdujo la Ley 31/2014 en la Ley de Sociedades de Capital: el enriquecimiento injusto del administrador que vulnera el deber de lealtad (art?culo 227.2 de la Ley de Sociedades de Capital). Despu?s de prestar particular atenci?n a la citada reforma y de analizar los tradicionales rasgos de la figura del enriquecimiento injusto en el orden civil, se pasar? a desarrollar una necesaria y diferente configuraci?n de la acci?n de enriquecimiento injusto en el contexto societario, con el fin de satisfacer uno de los objetivos de la vigente Ley de Sociedades de Capital, el enforcement del deber de lealtad de los administradores de las sociedades de capital.

[EN] This thesis addresses one of the novelties introduced by Ley 31/2014 in the Ley de Sociedades de Capital: the unjust enrichment of the company director who breaches the duty of loyalty (article 227.2 Ley de Sociedades de Capital). After paying particular attention to the aforementioned reform and analysing the traditional features of unjust enrichment in the civil order, this paper will proceed to develop a necessary and different configuration of the remedy in Company Law. Consistently, this article tends to fulfil one of the objectives of the current Ley de Sociedades de Capital, the enforcement of limited company directors? duty of loyalty.
