El deber de abstenci?n del socio en la Junta General: aspectos generales del conflicto de intereses (art?culo 190 TRLSC).

Abstract

[ES] El art. 190 TRLSC trata de dar respuesta a las situaciones de conflictos de intereses que se producen en las sociedades de capital, es decir, a aquellas situaciones en las que el socio ostenta un inter?s extrasocial contrario al inter?s social y que sea susceptible de ocasionar un perjuicio al mismo. Ante esas situaciones, el art. 190 TRLSC prev? una serie de supuestos en los que el socio quedar? privado de su derecho de voto para la adopci?n de ese acuerdo. Ese listado de situaciones que generan deber de abstenci?n habr?n de ser interpretados de un modo restrictivo, si bien podr?a admitirse la posibilidad de a?adir nuevos supuestos v?a estatutaria. Para el resto de situaciones en las que se produzca un conflicto de intereses pero no se contemple el deber de abstenci?n, se articula un mecanismo ex post de control a trav?s de la impugnaci?n del acuerdo con inversi?n de la carga de la prueba de la compatibilidad del acuerdo con el inter?s social.

[EN] Article 190 TRLSC seeks to solve conflict of interest?s situations that take place on companies, that is those situations in which a shareholder has an external interest contrary to the company?s interest and may subsequently harm it. In response, article 190 TRLSC establishes a list of situations in which the shareholder will be deprived of his right to vote for this resolution. While this list must be interpreted in a restrictive way, new situations may be added to it by the Articles Association. In the remaining situations which cause a conflict of interests, but a duty of abstention doesn?t exist, an ex post control mechanism is set through the challenging of the resolution with an inverted burden of proof of the resolution?s compatibility with the company?s interest.
