¿Sociedad unipersonal, «societas unius personae» o «quasi societas»?

Abstract

Legal recognition of the single-member company is these days an unquestionable reality, although another thing is whether its denomination is the most appropriate, as the phrase «single-member company» encloses a terminological digression. In any event, its Latin version: societas unius personae could not have fitted in the Roman legal order as it would have lacked a precise legal-technical meaning. Therefore, the objective of the present study consists in establishing a proposal for its denomination, regardless of its doctrinal acceptation and actual use, for the disputed question of the unipersonality of the firm, from the Roman jurisprudential viewpoint.

El reconocimiento legal de la sociedad unipersonal es una realidad incuestionable en nuestros días, otra cosa es que su denominación sea la más apropiada, pues la locución «sociedad unipersonal» encierra una digresión terminológica. De todos modos, su versión latina: societas unius personae no hubiera tenido cabida en el ordenamiento jurídico romano pues carecería de un significado técnico-jurídico preciso. Por ello, el objetivo del presente trabajo consiste en elevar una propuesta de denominación, con independencia de su aceptación doctrinal y uso actual, para la debatida cuestión de la unipersonalidad societaria, desde la óptica jurisprudencial romana.
