Abstract

dissociated administrator is the one whose correct fulfillment of his duty of loyalty towards his client company is at risk due to facts or circumstances that place him in a situation of real and effective conflict between the different loyalties that he has con-tracted. The legal qualification of such administrator responds to the permanent conflict between administrator and company regulated in the second paragraph of art. 229.1.f) LSC. Regarding the Sentence of the Supreme Court No. 613/2020, of November 17, different facets of the legal treatment of such situation are studied. Among them, those related to its conceptual delimitation -especially with respect to the figure of the conflict of interest-, the decisive influence of the proven risk of injury to the corporate interest of the managed company as a precondition for its qualification and the legality and validity of the measures. adopted based on the neutralization of said administrator, such as the suspension of the right to appoint administrators by the proportional representation sys-tem and the application of statutory and shareholder agreements that could protect such an anomalous situation. The treatment of such a dissociated administrator as a person linked to another company or person after the reform of the LSC by Law 5/2021, of April 12, and the specialties of the exemption regime of such situation are also studied.

Administrador disociado es el vinculado por diferentes deberes de lealtad hacia diferentes mandantes cuyos intereses entran en conflicto. La calificación jurídica de la situación de tal administrador responde a la del conflicto permanente entre administrador y sociedad regulado en el segundo inciso del art. 229.1.f) LSC. Se estudian diferentes facetas del tratamiento jurídico de tal situación. Entre ellas, las relativas a su delimitación conceptual -especialmente respecto de la figura del conflicto de intereses-, la decisiva influencia del probado riesgo de lesión del interés social de la sociedad administrada como presupuesto de su calificación y de la licitud y validez de las medidas adoptadas en función de la neutralización de tal administrador, tales como la suspensión del derecho de nombramiento de administradores por el sistema de representación proporcional y de la aplicación de pactos estatutarios y parasociales susceptibles de amparar tal anómala situación. También se estudia el tratamiento de tal administrador disociado como persona vinculada a otra sociedad o persona tras la reforma de la LSC por la Ley 5/2021, de 12 de abril, y las especialidades del régimen de dispensa de tal situación.
