Falsedad documental y certificaciones de juntas societarias ficticias

Abstract

En sociedades limitadas de pequeñas dimensiones y en las que los socios parten de una relación de confianza es habitual que la adopción de decisiones societarias no revista la forma legalmente exigida, consistente en la celebración de una junta de socios actual y presencial, teniendo no obstante los administradores o secretarios del Consejo que certificar la existencia de tales juntas a fin de poder inscribir los acuerdos sociales. Ello genera un riesgo de incurrir en un delito de falsedad documental, al faltar a la verdad sobre la existencia de la reunión de socios. Tras un análisis de la situación actual de la jurisprudencia, con particular atención a la STS del Pleno 232/2022, en la que se realiza una interpretación restrictiva del documento mercantil, en el presente trabajo se evalúa la relevancia penal de las certificaciones de juntas sin sesión o ficticias.
