Abstract

El capítulo se ocupa de la novedosa figura del crowdfunding de recompensa. Tras analizar el alcance poliforme del crowdfunding, se profundiza en la figura en estudio, destacando sus diferencias respecto del de donación, su funcionamiento y la ausencia de una regulación específica. Posteriormente, el estudio se detiene exhaustivamente en las distintas posturas doctrinales que lo han calificado como donación modal, como donaciones cruzadas, como contrato con causa onerosa y como contrato con causa onerosa y ánimo de colaboración. El trabajo profundiza en los argumentos esgrimidos en contra de su calificación como donación modal y en la necesidad de un paradigma oneroso como la mejor solución tuitiva de los intereses de promotor y aportante. Finalmente, se concluye que el que se conoce como "crowdfunding de recompensa" puede tener una doble naturaleza, según la entidad de la recompensa ofrecida, pues, dependiendo de la misma, puede ser una donación modal o un contrado de compraventa., mencionando también la modalidad del "reward crowdfunding" en el que no hay compromiso de entrega de la recompensa prometida por incluir la cláusula de "best-efforts" o mayores esfuerzos. Por último, se analizan todos los factores implicados en la conveniencia de una futura regulación.
