O dever de lealdade dos administradores

Abstract

A presente dissertação tem como objetivo analisar um dos deveres fundamentais dos administradores de sociedades anónimas – o dever de lealdade. Iniciou-se por fazer uma breve alusão aos deveres gerais consagrados no artigo 64.º do Código das Sociedades Comerciais comentando, ainda que sumariamente, o dever de cuidado nele consagrado. Seguiu-se uma análise geral do conceito de lealdade reconhecido nas normas de direito civil, procurando delimitar as relações jurídicas suscetíveis de integrar este dever enquanto “fonte” de obrigações para a(s) parte(s) contraente(s), partindo-se para a sua aplicação específica no campo do direito das sociedades. Neste âmbito decompôs-se o dever de lealdade dos administradores, tentando compreender o fundamento da sua aplicabilidade à relação existente entre estes e a sociedade, passando pela análise à eventual existência de conflitos de interesses e de que forma o nosso ordenamento jurídico atua perante a existência de um conflito. Por último, analisou-se de que forma são os administradores responsabilizados caso, no exercício das suas funções, violem o dever de lealdade aqui comentado.

This dissertation aims to examine one of the fundamental duties of directors of joint stock corporations - the duty of loyalty. It begins with a brief allusion to the general duties set out in Article 64. of the Code of Commercial Companies commenting, albeit briefly, the duty of care set out therein. The concept of loyalty recognized in the rules of civil law was analysed, seeking to delimit the legal relations susceptible to integrate this duty as "source" of obligations to the contracting party, starting for their specific application in the field of company law. In this context, the duty of loyalty of directors was decomposed, trying to understand the basis of their applicability to the relationship between them and society, through analysis of the possible conflicts of interests and how our legal system works before the existence of a conflict. Finally, it was analyzed how managers are held accountable if, in the exercise of their duties, they violate the duty of loyalty discussed here.
