Abstract

Após a aquisição da Papéis Inapa (2000) e da Soporcel (2001), a Portucel passou a ocupar umValuation lugar de destaque no ranking europeu dos produtores de papeis finos não revestidos. Em 2009, a Portucel concluiu, em Setúbal, a construção da maior e mais sofisticada máquina de papel do mundo, com capacidade anual de produção de 500 mil toneladas de papéis finos não revestidos, que permitiu posicionar a Empresa como líder europeia neste segmento. Tendo por base o processo de consolidação e crescimento orgânico iniciado em 2000 assente no driver de integração vertical da actividade da Portucel, o projecto de mestrado incorpora os seguintes objectivos: (i) apuramento de referenciais de valorização para os activos e capitais próprios da Portucel tendo por base a óptica do rendimento e respectivo enquadramento dos resultados obtidos com múltiplos de mercado, relatórios de equity research e capitalização bolsista da Empresa e (ii) análise e quantificação, em sede de exercício teórico e de acordo com a base de activos aportada e condições de mercado actuais, da contribuição das decisões de aquisição/investimento para o valor actual dos activos da Empresa, procurando aferir se as decisões tomadas foram criadoras de valor para a Portucel. Neste contexto, o presente documento conclui (i) um intervalo de valorização dos capitais próprios da Portucel compreendido entre EUR 2,56/acção e EUR 2,87/acção e (ii) que os movimentos de aquisição/consolidação contribuíram com 50% para o valor actual total dos activos da Empresa, o crescimento orgânico com 26% e a base de activos pré-existente com 24%.

Following the acquisition of Papéis Inapa (2000) and Soporcel (2001), Portucel came to occupy a prominent place in the European ranking producers of uncoated fine papers. In 2009, Portucel completed, in Setúbal, the construction of the largest and most sophisticated paper machine in the world with an annual production capacity of 500 thousand tonnes of uncoated fine paper, which allowed positioning the Company as an European leader in this segment. Considering the consolidation process and the organic growth started by Portucel in 2000, under the driver of its vertical business integration, this report incorporates the following main objectives: (i) determine current market asset and equity valuation ranges for Portucel based on a discounted cash-flow approach and cross check the results obtained with the ones presented by market multiples, equity research reports and market capitalization of the Company and (ii) analysis and quantification, according to the added asset base and current market conditions, of the contributions made by the acquisitions/ investment processes to the current total asset value of the Company, seeking to ascertain if the decisions taken created value for Portucel. In this context, the current document concludes (i) an equity valuation range for Portucel between EUR 2.56 and EUR 2.87 per share and (ii) that the acquisitions/ consolidation operations contributed with 50% to the current total asset value of the Company, the organic growth with 26% and the pre-existing asset base with 24%.
