Abstract

Considerando ventajosa la participación de los trabajadores en la vida de la empresa, el autor comienza recordando que el estudio de esta materia se remonta, en Portugal, al menos a principios de los años setenta del siglo pasado. En aquel momento, fue adoptado el modelo alemán como referencia y así ha venido sucediendo a lo largo de los tiempos. Debido a la inexistencia en su país de la misma tradición que en Alemania, de una cultura de codeterminación por los trabajadores en las empresas, el autor subraya la necesidad de avanzar con cautela en la transposición del referido modelo. Así, deberán ser ponderadas las especificidades del tejido empresarial portugués, compuesto mayoritariamente por micro, pequeñas y medianas empresas, en las que es dominante la voluntad de los socios. Seguidamente, es analizada la Constitución portuguesa. Una vez que ésta consagró la participación efectiva de los trabajadores en la gestión de las empresas sólo para el sector público, el autor concluye que en el sector privado tendrá que alcanzarse un consenso, por causa de la libertad de empresa y de la garantía constitucional de la propiedad privada. Por último, se mencionan algunos cambios a implementar en el Código de las Sociedades Mercantiles portugués, en el supuesto de que el legislador decida consagrar la referida codecisión. En lo esencial, para el Autor, la cogestión presupone un cuadro de decisión institucionalizado, el cual, en Portugal, prácticamente existirá sólo en las grandes empresas, bajo la forma de sociedad anónima.

Considering the advantageous participation of workers in the life of the company, the author begins by recalling that the study of this subject dates back, in Portugal, at least to the beginning of the seventies of the last century. At that time, the German model was adopted as a reference and this has been the case over the years. Due to the non-existence in his country of the same tradition as in Germany, of a culture of codetermination by workers in companies, the author stresses the need to advance cautiously in the implementation of the aforementioned model. Thus, the specificities of the Portuguese business network, composed mainly of micro, small and medium sized companies, in which the will of the shareholders is dominant, must be taken into account. Next, the Portuguese Constitution is analyzed. Once it enshrined the effective participation of workers in the management of companies only for the public sector, the author concludes that in the private sector a consensus will have to be reached, due to the freedom of enterprise and the constitutional guarantee of private property. Finally, some changes to be implemented in the Portuguese Commercial Companies Code are mentioned, in the event that the legislator decides to enshrine the aforementioned codecision. Essentially, for the author, co-determination presupposes an institutionalized decision-making framework, which, in Portugal, will exist practically only in large companies, in the form of a joint stock company.
