Abstract

A presente dissertação tem como tema a “Confidencialidade nos acordos parassociais: a evolução histórica e legislativa que conduziu à perda da sua génese” e resulta do interesse suscitado aquando do estudo da temática em Sociedades Comerciais durante a Licenciatura. A dissertação retrata a vida dos acordos parassociais desde o seu aparecimento nos diferentes ordenamentos jurídicos até à influência que estes exercem na vida das sociedades, em especial, das sociedades cotadas em bolsa. No entanto, a presente dissertação procura ir mais além do disposto pela legislação e doutrina portuguesa procurando adaptar as normas referentes à publicidade dos acordos parassociais à generalidade das sociedades comerciais. Posto isto, com a apresentação de uma solução iuri condendo, pretendemos apresentar novas soluções para que, acima de tudo, a vida das sociedades comerciais seja mais clara e tranquila.

The following thesis addresses "Confidentiality within shareholders' agreements: the historical and legislative evolution that led to its origin". The referred topic is a result from my personal interest in the Commercial Societies course, which was included in my bachelor degree. The dissertation portraits the life of shareholders' agreements, from their outbreak in the various legal frameworks to the influence they exert in undertakings, particularly in companies listed on the stock exchange. However, the thesis intends to go beyond the Portuguese legal provisions and doctrine, as it seeks to adapt the procedures concerning the disclosure of shareholders' agreements to commercial societies in general. Moreover, by presenting a iuri condendo solution, we hope to provide innovative solutions with the ultimate goal of making the life of commercial undertakings more clear and seamless.
