Abstract

The theme discussed in the present dissertation is the analysis of the legal regime of shareholder’s agreements: their admissibility, the most used modalities, its limits and its non-compliance. The purpose of this dissertation is to explain and clarify the addressed theme and know the portuguese courts position in cases which one of the parts breaks the agreement. This dissertation is composed by five chapters. In the first one we define and characterize the shareholder’s agreements: we present the concept of it, what are its characteristics, we also do a historical framework and, to end this chapter we make a brief review of article 17º C.S.C, that deals with the admissibility of shareholder’s agreements and their limits. In the second chapter, we make a comparison between shareholder’s agreements and the social contract. In third chapter we show the three most usual modalities of shareholder’s agreements. In fourth chapter, we address the issue of non-compliance and say which are the means that the affected part can use in those cases. In the fifth chapter, we analyze two different cases of non-compliance of shareholder’s agreements that were settled in portuguese courts. After this, we present some major conclusions: the chance of make these agreements with non-stakeholder’s being applied the article 17º C.S.C and the fact that is almost impossible to apply any mechanism of the coercive realization of obligations in cases of non-compliance, being the resort to criminal clauses the most effective method of preventing damage arising from such non-compliance.

O tema tratado ao longo da presente dissertação é a analise do regime jurídico dos acordos parassociais: a sua admissibilidade, as modalidades mais utilizadas, os seus limites e o seu incumprimento. Esta dissertação tem como principal objetivo explicar melhor este tema e ver qual é a posição dos tribunais portugueses nos casos em que uma das partes viola o acordo. Assim sendo, a dissertação é composta por cinco capítulos. No primeiro capitulo definimos e caracterizamos os acordos parassociais: fazemos um breve enquadramento histórico, apresentamos o conceito de acordo parassocial e explicamos as suas características, terminando com uma breve analise ao artigo 17° do C.S.C., que trata da sua admissibilidade e limites. No segundo capitulo fazemos uma breve comparação entre os acordos parassociais e o contrato social. No terceiro capitulo mostramos as três modalidades mais utilizadas. No quarto capitulo abordamos o tema do incumprimento e dizemos quais são os meios que a parte lesada pode utilizar nestes casos. No quinto e ultimo capitulo analisamos dois dos diversos casos de incumprimento dos acordos parassociais que passaram pelos nossos tribunais. Concluímos que é possível que terceiros não sócios possam fazer parte destes acordos sendo aplicado na mesma o artigo 17° do C.S.C. e que é quase impossível aplicar qualquer um dos mecanismos de realização coativa das obrigações nos casos de incumprimento sendo o recurso às cláusulas penais o método mais eficaz de prevenir danos provenientes desse incumprimento.
