Esta dissertação tem o objetivo de analisar todo o regime dos Acordos Parassociais. Iremos analisar a historia dos Acordos Parassociais, como surgiram, como começaram a ser admissíveis, em que áreas os Acordos Parassociais poderiam incidir, e também como começaram a ser aceites em diferentes ordenamentos jurídicos. Nesta dissertação dedicamos um capítulo para analisar o Direito comparado, o que tem grande importância para analisarmos o presente e como funcionam os Acordos Parassociais na atualidade. Analisamos a importância dos Acordos Parassociais e como estes são importantes para o nosso Direito Societário, e também as principias matérias que estes incidem. Como sabemos os Acordos Parassociais funcionam em conjunto com o Contrato de Sociedade, contudo estes são independentes, tem regimes diferentes, mas nunca podemos esquecer a sua interligação. Todos Acordos Parassociais têm limites, e nesta dissertação iremos analisar todos os limites que os Acordos Parassociais têm que respeitar. Por fim, dedicamos um último capitulo ao incumprimento dos Acordos Parassociais e como fazer face a esta realidade. Iremos indicar vários meios jurídicos, e aqueles que na nossa perspetiva são admissíveis para fazer face a esta realidade, como também iremos indicar os que, na nossa perspetiva são inadmissíveis.

This objective of this dissertion to analyze the whole system of Shareholder Agreements. We will analyze the history of Stockholder Agreements, as they emerged as began to be admissible, in which areas the Shareholder Agreements could focus, as well as began to be accepted in different legal systems. In this dissertation devote section to analyze the comparative law, which is very important to analyze the present and how the Shareholder Agreements at present work. We have analyzed the importance of Shareholder Agreements and how they are important to our Corporate Law, and also form major issues that affect these. As we know the Shareholder Agreements work in conjunction with the social pact, but these are independent, have different rules, but we can never forget their interconnection. All Shareholders' Agreements have limits, and in this paper we will examine all the limits that the Shareholder Agreements have to respect. Finally, we dedicate a final section to failure of shareholders' agreements and how to face this reality. We will show many legal means, and those in our perspective are admissible to face this reality, as we shall also specify that in our perspective are inadmissible.
