Građanskopravni okvir i sudska praksa akcionarskih društava – značaj skupštine akcionara

Abstract

Rad obrađuje pravni položaj akcionarskog društva u Republici Srpskoj, s fokusom na skupštinu kao centralni organ upravljanja. U tom pogledu, detaljno je analizirana sudska praksa sudova najviše instance u Bosni i Hercegovini. Ona se iskazala kao vrijedan izvor tumačenja niza raznih problema vezanih uz akcionarska društva kao što su proboj pravne ličnosti, pozivanje akcionara na sjednicu skupštine i povećanje osnovnog kapitala. Kroz sintezu zakonskih normi i sudskih tumačenja, rad pruža pregledan prikaz funkcionisanja ove vrste privrednog društva.
