El significado jurídico de los grupos de sociedades. La "corporate governance"

Abstract

Los grupos de sociedades constituyen una realidad empresarial característica de nuestro tiempo en la que se ejerce, por la entidad que encabeza el grupo, una dirección unificada sobre las diversas personas jurídicas, normalmente sociedades, que lo componen. La dialéctica unidad económica-pluralidad jurídica caracteriza al grupo y es el factor que dificulta el logro de un régimen jurídico adecuado para el mismo. No han faltado los intentos por conseguirlo, no sólo en los diversos ordenamientos jurídicos nacionales, sino también en la Unión Europea. Salvo algunas excepciones (como es el caso de Alemania o Portugal), el tratamiento de los grupos se orienta, dentro de la corporate governance, hacia la autorregulación, sin perjuicio de la existencia de ciertas normas legales sobre la figura. Pero, más en general, este planteamiento podría realizarse a través de instrumentos, como el «contrato de grupo», compatible con el vigente Derecho español, y fórmula idónea para establecer bases sólidas sobre su régimen jurídico.
