En el contrato de concesión No. 009 de 2015, celebrado bajo la modalidad de APP de iniciativa Pública, ¿el riesgo contractual referido a los “sitios inestables” corresponde a un riesgo previsible o no?

Abstract

El laudo objeto de análisis tiene el propósito de examinar la demanda arbitral presentada por el concesionario Concesión Transversal del Sisga S. A. S. (SISGA) en contra de la Agencia Nacional de Infraestructura (ANI), con ocasión de la ejecución del contrato de Concesión No. 009 de 2015, Asociación Público-Privada de iniciativa pública de 4ª Generación. Entre las pretensiones de la demanda, el concesionario solicita la nulidad y/o ineficacia, según corresponda, de las cláusulas del contrato que le impusieron la obligación de intervención de los sitios inestables no identificados, que surgieran durante la ejecución del contrato. Para ello, se tiene en cuenta, que, i) en la matriz de riesgos se hizo una asignación deficiente del riesgo de sitios inestables, el cual se calificó como un riesgo constructivo, asignado en su totalidad al privado; y ii) en los estudios y documentos previos se señalaron solamente 57 sitios inestables por intervenir en actividades de rehabilitación, mientras que, durante la ejecución del contrato, surgieron más de 170 sitios inestables, lo que implicó un desequilibrio económico para el concesionario. En este trabajo, se analiza si el riesgo contractual de “sitios inestables” es imprevisible o no, con fundamento en la ley, los documentos CONPES, la jurisprudencia y la doctrina.
