Abstract

<p>Las Sociedades por Acciones Simplificadas (SAS) fueron introducidas al ordenamiento por ley 27349, entre un paquete de medidas destinadas a favorecer el emprendedorismo. Son un tipo societario híbrido, con características similares a las Sociedades de Responsabilidad Limitada (SRL), pero cuyo capital se divide en acciones como las sociedades anónimas. La utilización de esta figura puede resultar beneficiosa y conveniente para el empresario; pero debe considerarse que de la forma en que las SAS fueron reguladas, pueden ser usadas por agentes inescrupulosos como instrumentos para violar la ley y perjudicar a terceros. Este artículo pretende realizar un análisis de la figura para detectar sus ventajas y desventajas a través del análisis de diversas posturas doctrinarias al respecto, entre autores que las promueven como la mejor solución jurídica para el empresariado y otros que las consideran un mecanismo coadyuvante a la corrupción en el sistema jurídico argentino. De este estudio puede concluirse que la incorporación de este tipo societario a nuestra legislación reporta la introducción de una nueva herramienta que por su rapidez, simpleza y operatividad resulta útil al empresariado argentino, pero esa utilidad no debe ser utilizada en perjuicio de los derechos de terceros, situación en la que cobrarán relevancia los principios generales del Derecho</p>
