Abstract

Spanish Abstract: Espana es uno de los paises con menor tasa de concursos por numero de empresas a nivel mundial. En ocasiones, se ha alegado que el escaso uso de los procedimientos concursales en Espana se debe a una falta de cultura concursal de los empresarios espanoles. Sin embargo, tal y como hemos puesto de manifiesto en un reciente trabajo, el escaso uso de los procedimientos concursales no creemos que se deba, por lo general, a factores sociologicos o culturales. De hecho, todo lo contrario: la minimizacion (ex ante) del riesgo de concurso y la reticencia (ex post) a la utilizacion del concurso por parte de deudores y acreedores espanoles es la respuesta natural a un sistema que resulta escasamente atractivo tanto para deudores como para acreedores. En nuestra opinion, el escaso atractivo del concurso de acreedores se debe a una falta de entendimiento, por parte del legislador espanol, de los fundamentos economicos del concurso de acreedores, asi como el papel que desempena el Derecho concursal en el diseno de la estructura economica y financiera de las empresas, en el acceso y el coste del credito, en el grado de emprendimiento, innovacion y competitividad de las empresas, y, mas genericamente, en la promocion del crecimiento economico. El presente articulo sintetiza las conclusiones del trabajo en el que ponemos de manifiesto las causas e implicaciones de la escasa utilizacion del concurso de acreedores. Asimismo, partiendo de la literatura economica y de la experiencia comparada, hemos realizado una propuesta de reforma de la Ley Concursal con el objetivo de incrementar la eficacia, eficiencia y atractivo del concurso tanto para deudores como para acreedores. Finalmente, y por su potencial impacto en la minimizacion ex ante del riesgo de insolvencia y el ineficiente diseno de la estructura economica y financiera de las empresas espanolas, tambien se proponen una serie de reformas no concursales destinadas a favorecer el emprendimiento, la innovacion, la eficiencia y competitividad en la economia espanola. English Abstract: Spain has one of the world´s lowest business bankruptcy rates (that is, number of business bankruptcies per firm). In a recent paper, we have argued the low usage of bankruptcy procedures is mainly due to the unattractive legal framework existing in Spain. Namely, we have argued that a very harsh bankruptcy law, a creditor-oriented corporate law, a poor law of secured transactions, and an inefficient culture of bank lending in Spain discourage innovation, entrepreneurship, responsible risk-taking, and the optimal capital structure of Spanish firms. In this paper we propose a reform of the Spanish Bankruptcy Act 2003 based on a comparative and economic analysis of bankruptcy law. Likewise, we propose a set of non-bankruptcy reforms with the purpose of enhancing the competitiveness, efficiency and innovation of Spanish firms.
