Las sociedades cooperativas de servicios financieros en España

Abstract

Este libro trata de las cooperativas de crédito, que pueden además prestar servicios de inversión, y de las cooperativas de seguros. Se trata de clases que están presentes en el origen del cooperativismo, ya que satisfacen necesidades básicas de los socios y de los terceros con los que pueden contratar: crédito, financiación, inversión y cobertura de riesgos. Se analizan las peculiaridades que caracterizan a ambas cooperativas y que recorren su sistema jurídico: desde la constitución, el régimen de los socios, los órganos sociales (con marcadas especialidades en lo que al órgano de administración respecta), el régimen económico o las modificaciones estructurales, hasta la disolución y extinción. Por su peculiar naturaleza, consecuencia de su consideración como parte del sistema financiero, a estas cooperativas les resultan de aplicación, además de las normas propiamente de Derecho cooperativo -estatales y autonómicas, generales y especiales-, las que conforman el sistema de ordenación de estos mercados y establecen el régimen de control, supervisión y solvencia de las entidades que en ellos actúan. Es precisamente este particular régimen jurídico el que dificulta y, a la vez, sirve de aliciente para abordar el estudio pormenorizado ambas clases de cooperativas.
