Роль процессов слияний и поглощений в российской экономике

Abstract

Российский рынок корпоративного контроля стал развиваться в начале 90-х годов. Но не смотря на столь короткую историю процессы слияний и поглощений довольно широко распространились в России и оказывают большое влияние как на внутре-, так и на внешнеэкономическую ситуацию страны. Многие компании, сделавшие ставку на экспансию и/или диверсификацию, должны решать вопрос, каким именно способом завоевывать новые рынки. Из двух альтернатив развивать собственное производство или купить/слиться с уже действующим предприятием многие выбирают вторую. Однако эта альтернатива связана с многочисленными рисками. Известно, что 2/3 всех слияний и поглощений оказываются в конечном счете убыточными. Поэтому необходимо проводить оценку потенциальных выгод перед проведением сделки.
