ЗАВЕРЕНИЯ ОБ ОБСТОЯТЕЛЬСТВАХ: СРАВНЕНИЕ С REPRESENTATIONS И WARRANTIES ПО АНГЛИЙСКОМУ ПРАВУ

Abstract

Несмотря на то, что заверения об обстоятельствах по российскому праву были заимствованы из английского права, по своей природе они отличаются как от representations, так и от warranties, аналогами которых являются. Смешанная природа нового института не позволяет перенять готовые решения из английского права, которое, в свою очередь, характеризуется неоднозначностью судебной практики по данному вопросу. Российскому праву предстоит выработать собственные правила применения заверений, однако существующее на данный момент регулирование не всегда дает ответ на возникающие вопросы.

Representations under Russian law, though having borrowed key features from both institutions, differ in nature from representations and warranties under English law. The mixed nature of new institution makes it impossible to adopt existing approach from English law, which, in turn, cannot provide uncontroversial case law on subject matter. The Russian law will have to develop its own rules but the existing regulation does not always give a clear answer to arising questions.
