Этические аспекты модели корпоративного управления

Abstract

This article analyzes and stakeholders and shareholder model of corporate governance. Examined the shareholder model of corporate governance, which is based on the assumption that the corporation must act in the interests of the rightful owners the shareholders. Managers are seen as agents of the owners, so they are obliged to protect the interests of the principals (shareholders).Disclosed the essence of stаkeholders model of corporate governance aimed to reach the balance of the interests of all stakeholders of the company, without exception. In this model, the company is not seen as a means of increasing shareholder wealth, company must be considered as an economic institution,which is aimed at long-term cooperation with all stakeholders.The author has considered the ethical aspects of corporate governance in different countries. Identified and defined the key factors influencing the ethical orientation of the system of corporate governance. These factors include ownership structure, corporate, national or regional laws and regulations, cultural values, political ideology.

В статье рассматриваются акционерная и стейкхолдерская модели корпоративного управления. Согласно акционерной модели, корпорация должна действовать в интересах законных владельцев акционеров. Менеджеры рассматриваются как агенты владельцев, поэтому они обязаны защищать интересы принципалов (акционеров). Стейкхолдерская модель нацелена на достижение баланса интересов всех без исключения стейкхолдеров компании. В этом случае компания рассматривается не как средство увеличения благосостояния акционеров, а как экономический институт, деятельность которого направлена на долгосрочное сотрудничество со всеми стейкхолдерами. Автор рассмотрел этические аспекты корпоративного управления в различных странах. Выявлены и определены такие ключевые факторы этической направленности системы корпоративного управления, как структура собственности, национальные или региональные корпоративные законы и правила, культурные ценности, политическая идеология.
