Институциональные альтернативы в корпоративном управлении компаний с государственным участием

Abstract

В центре проблемы эффективного управления государственной собственностью находятся вопросы развития практики корпоративного управления. Некоторые решения могут быть найдены с помощью инструментария новой институциональной экономической теории, который позволяет, во-первых, структурировать большую совокупность отношений в рамках корпоративного управления, а во-вторых дает широкие возможности для дальнейшего анализа. В статье, прежде всего, предпринята попытка синтеза одного из ключевых методов новой институциональной экономической теории как исследовательского подхода сравнительного анализа дискретных структурных альтернатив и категории корпоративного управления. Рассмотрены такие принципы, как методологический индивидуализм, контрактный подход, ограниченная рациональность. Далее выделены основные группы стейкхолдеров компании с государственным участием и определены их интересы. Наконец, описаны возможные институциональные альтернативы в корпоративном управлении на каждом уровне стейкхолдеров (собственник в лице государства, представительный и исполнительный органы, миноритарные акционеры, работники, кредиторы, другие организации и население).

The main issue of the effective state ownership management is the development of the corporate governance practice. Some answers can be found by the instruments of the new institutional economic theory. Firstly it allows structuring the set of the relationships within the corporate governance; secondly it gives opportunities for the further analysis. First of all, an attempt to synthesize the specific feature of the new institutional economics as a research tradition (comparative analysis of discrete structural alternatives) and the corporate governance is made in the article. Such principles as methodological individualism, contractual approach, bounded rationality are considered. Then the main groups of stakeholders of the companies with a state participation and their aims are distinguished. Finally, possible institutional alternatives in corporate governance at all levels (state, board and executive committee, minority shareholders, workers, creditors, organizations, society) are described.
