О некоторых ошибках контрактной работы

Abstract

При работе над внешнеторговым контрактом купли-продажи товаров стороны вольныв выборе терминологии и формулировок, описывающих свойства товара, его количество,качество и условия поставки, вольны в выборе юрисдикции, в которой будут рассматриваться споры, возникающие в процессе исполнения контракта. Одновременно практикапоказывает, что значительная часть рисков, реализующихся в процессе исполнения сторонами внешнеторговых контрактов купли-продажи товаров, порождены самими участниками ВЭД ещё на этапах работы, как с текстом самого контракта купли-продажи, так и с договорами перевозки и страхования. В настоящей статье мы рассмотрим последствия, которые возникают после добавления в контракт купли-продажи оговорок, терминов иусловий, совершенно несвойственных внешнеторговым контрактам.

When working on an international sales contract, parties are free to choose the terminologydescribing the properties of the product, its quantity and quality, and delivery terms; freeto choose the jurisdiction in which the disputes arising in the course of the contract will beconsidered. However, practice shows that a significant part of the risks that arise while processinginternational trade contracts, are generated by the participants of foreign economic activity on thefurther stages of work, as with the text of the sales contracts and also with the contracts of carriageand insurance. In this article, the author considers the consequences that result from adding ofsales contract clauses, terms and conditions, completely unusual for international trade contracts.
