В статье посредством анализа вопросов, отнесенных к компетенции совета директоров (наблюдательного совета) акционерного общества, а также возможности формирования его компетенции за счет передачи в нее вопросов, включенных в компетенцию общего собрания акционеров, исследуется вопрос о месте совета директоров (наблюдательного совета) в системе органов управления акционерным обществом. С учетом проведенной классификации вопросов, относящихся к компетенции названных органов, а также особенностей формирования советом директоров повестки дня общего собрания акционеров дается оценка роли совета директоров в российской модели корпоративного управления. The article, through an analysis of issues within the competence of the board of directors (supervisory board) of a joint stock company, as well as the possibility of forming its competence by transferring to it the issues included in the competence of the general meeting of shareholders, examines the question of the place of the board of directors (supervisory board) in the system of management bodies of a joint-stock company. Taking into account the classification of issues falling within the competence of these bodies, as well as the peculiarities of formation by the board of directors of the agenda of the general meeting of shareholders, an assessment of the role of the board of directors in the Russian model of corporate management is given.
