Abstract

Finansal kiralama, yatırım yapmak isteyen bir işletme sahibinin, işletmesinde kullanacağı malın, mülkiyeti bu alanda uzmanlaşmış bir mali kuruluş olan finansal kiralama şirketine ait olmak üzere mülkiyet hakkı dışında ekonomik olarak tüm haklarını belirli bir süre feshedilmemek ve karşılığında belirli bir bedel ödemek kaydıyla kiralanmasını sağlayan bir sözleşmedir. Tarihi çok eskiye dayanan finansal kiralama, ilk olarak Amerikan Birleşik Devletlerinde yatırımların finansmanı için kullanılmış olup günümüzde birçok ülkede yaygın şekilde kullanılmaktadır. Bu alanda karşılaşılan sorunların giderilmesini teminen ulusal birliklerin yanında pek çok uluslararası örgüt de kurulmuştur.Ülkemizde 10.06.1985 tarih 3226 sayılı Finansal Kiralama Kanunu ile yasal düzenlemeye kavuşturulan finansal kiralama sözleşmesi, karşılıklı edimleri içeren kendine özgü bir sözleşme tipidir. Bu çalışmada, finansal kiralama kavramı, türleri ve Türk hukukunda düzenlenişi ele alındıktan sonra, sözleşme olarak tanımı ve unsurları ile sözleşme taraflarının karşılıklı borçları ele alınmıştır.

Financial leasing is an agreement which the lessor gives the rights of use an asset to the lessee for an agreed period and in return earns the payment for this transfer of use. Based on a very old history, financial leasing, now widely common around the world, was first used for financing investment in the USA. There are many national unities besides international organizations to overcome the problems encountered in this area.Financial leasing contract is regulated in the Code of Financial Leasing which dated 10.06.1985 and numbered 3226 in Turkey that contains mutual acts in a very unique type. In this study, we have explained the financial leasing notion, types and regulation in Turkish law. In the second and third section, mutual obligations of the contracting parties have been explained.
