La reforma concursal: ¿un diseño eficiente?.

Abstract

La inminente entrada en vigor de la Ley Concursal, ley 22/2003, apunta la necesidad de estudiar las potenciales ventajas e inconvenientes asociadas a diferentes procedimientos legales para la resolucióndel fracaso empresarial y que básicamente se concretan en dos tipos de ineficiencia. Así, un sistemaorientado hacia el acreedor es eficiente ex-ante, pero no ex-post, al favorecer la liquidación de empresas viables. Por el contrario, un sistema orientado hacia el deudor elimina este último tipo de ineficiencia, pero origina pérdidas en la eficiencia ex-ante, al disminuir los incentivos al esfuerzo directivo y favorecer la continuidad de empresas no viables. El diseño de la legislación concursal exige tener en cuenta además otras variables del entorno institucional de la empresa como el grado de dispersión de la propiedad, el peso del sector bancario en la provisión de fondos a la economía o el funcionamiento de los mecanismos disciplinadores de la actuación directiva como el mercado de control corporativo.
