Concepción contextual de la buena fe contractual

Abstract

En el derecho español de contratos, la buena fe se concibe como un estándar de comportamiento debido de las partes alineado con el contrato mismo (artículo 1.258 del Código Civil). Si el contrato es válido, la buena fe modula las cláusulas contractuales específicas e integrar las lagunas. Como cuestión de derecho, la buena fe contractual es siempre contextual y no permite a los tribunales de justicia o de arbitraje contradecir las cláusulas válidas de un contrato válido. Si, y solo si, algunas cláusulas fueran nulas, o todo el contrato estuviera al borde del colapso, la buena fe puede ser usada para enmendar el contenido contractual.
