Abstract

La información tiene especial importancia en la vida de las sociedades comerciales. El socio o accionista de la sociedad comercial desde siempre necesitó y seguirá necesitando de información para ejercer —de manera completa— sus derechos más elementales. Tal es así que, aun cuando se pueda sostener que los derechos más importantes sean el de participar en las ganancias (como derecho económico fundamental) y el de voto (como derecho político por excelencia), la importancia del derecho de información se vislumbra al apreciar que, su vulneración, afecta de forma significativa el ejercicio de los anteriores, así como de tantos otros, derechos del socio o accionista. Este trabajo indaga en el derecho de información de socios y accionistas; su núcleo duro, los valores jurídicos involucrados y su importancia; su regulación en el derecho nacional y en el derecho extranjero; su función de mecanismo de control y protección de las minorías y las vías societarias internas y judiciales de acceso a la información
