
Abstract Corporate law and corporate governance are flip sides of the same coin. The fundamental task of corporate law is to provide a framework of goverance institutions that mitigate the agency problem arising from the separation of ownership and control in the modern corporation-that the interests of the managers who control corporate decision-making may not coincide with the interests of their principals, the corporation’s owners.
