Abstract

This thesis study named "Bank Mergers and Acquisitions" has been prepared for the requirements of Uludağ University Department of Economics by Ms Nebahat Gultekin under the supervision of Professor Ismail Yılmaz Aslan. Increasing interactions between financial markets in the domestic and international scope have put the need for market expansion through consolidation into today's financial and economic agenda. As the competition has become fiercer, financial institutions have started using mergers and acquisitions activity increasingly to gain further market share and expand into new markets. This study analyses the drivers and the legal aspects of mergers and acquisitions activity in banking sector in Turkey and in global markets. Major difficulties encountered in this study were the lack of historical analyses of the bank mergers in Turkey and that almost all the bank merger activity in Turkey has been driven by regulatory requirements. In order to remedy the insufficiency of directly applicable reference materials, research and studies on the areas of mergers and banking sector, and the previous articles, Master's and PhD thesis on the subject have been utilized.

Bu tez yüksek lisans tezi olarak "Banka Birleşmeleri" adı altında Nebahat Gültekin tarafından, Prof. Dr. İsmail Yılmaz Aslan'ın danışmanlığı ışığında hazırlanmıştır. Günümüzde mali piyasalar arasındaki etkileşim ve sınır ötesi işlemlerin gelişmesi, piyasalar arası bütünleşmeyi ve büyüme ihtiyacını gündeme getirmiştir. Mali kurumlar arasında artan rekabetin de etkisiyle mali sektörde birleşmeler diğer adıyla şirket evlilikleri yaşanmaya başlanmıştır. Bu çalışmada ; banka birleşmelerinin, nedenleri, Türkiye ve dünyadaki durumu ve hukuki çerçevesi incelenmiştir. Araştırma sırasında bazı güçlükler yaşanmıştır. Özellikle Türkiye'de banka birleşmeleri ile ilgili olarak çalışma ve araştırma yapılmamış olması ve yaşanan birleşmelerin zorunlu ve genellikle devlet tarafından gerçekleştirilmesi, konunun günümüzde yaşanan ekonomik kriz sonrası finans sektörünün gündemi oluşturması sonucu ilgi çekici bir konu haline gelmiştir. Kaynak sıkıntısını aşmak amacıyla, birleşmeler ve bankalar ile ilgili yapılmış çalışmalar bir araya getirilmiş, daha önce yapılmış yüksek lisans ve doktora tezlerinden ve konuyla ilgili makalelerden de yararlanılmıştır.
