Unificación de las TIC y procesos de integración en las fusiones y adquisiciones horizontales

Abstract

Este artículo analiza el papel de las tecnologías de la información y comunicación (TIC) en los procesos de integración en las adquisiciones de compañías del mismo sector que la adquirente (horizontales). De acuerdo con los planteamientos tradicionales, una rápida fusión de las plataformas TIC de la empresa adquirente y adquirida sería, en principio, la mejor opción para facilitar la integración de ambas compañías. No obstante, los resultados de un estudio de casos que presentamos en este artículo muestran que la inmediata fusión de plataformas no está exenta de ciertos problemas. En concreto, se pone de manifiesto cómo, dependiendo sobre todo del grado de introducción de las TIC en las dos empresas, adquiriente y adquirida, una velocidad de integración más baja podría resultar, a veces, incluso más aconsejable.
